Enterprise & Fleet Terms

Effective Date: July 2026

Purpose

These Enterprise & Fleet Terms apply to organizations that purchase, administer, or otherwise manage DriverProof subscriptions on behalf of employees, contractors, owner-operators, or other authorized users.

These terms supplement the DriverProof Terms of Service. If a conflict exists between these Enterprise & Fleet Terms and the general Terms of Service, these Enterprise & Fleet Terms govern solely with respect to enterprise and fleet accounts.

Enterprise Accounts

Organizations may purchase DriverProof subscriptions for multiple authorized users.

Each subscription seat is assigned to an individual user account.

Organizations are responsible for managing their subscription, assigned seats, billing, and administrative users.

Authorized Administrators

Organizations may designate one or more authorized administrators to manage their DriverProof account.

Authorized administrators may, depending on the organization's subscription:

• Assign or remove subscription seats.

• Manage billing.

• View organization-level reports and inspection records available under the subscription.

• Manage administrative permissions.

• Access other features included with the organization's plan.

Organizations are responsible for all actions performed by their authorized administrators.

Driver Accounts

Each driver receives an individual DriverProof account.

Drivers remain responsible for:

• Account security.

• Inspection accuracy.

• Submitted information.

• Compliance with applicable laws and employer policies.

Organizations should ensure that only authorized individuals use assigned accounts.

Inspection Record Integrity

DriverProof is designed to preserve the authenticity of inspection records.

Accordingly:

• Submitted inspections cannot be edited.

• Submitted inspections cannot be deleted by users or administrators.

• Submitted photographs cannot be replaced.

• Historical timestamps remain permanently associated with submitted inspections.

These protections apply equally to enterprise customers, fleet administrators, and individual drivers.

Organizational Access

Organizations may access inspection records submitted by drivers assigned to their enterprise account, subject to the permissions available under their subscription.

Organizations agree to use inspection information only for legitimate business purposes, including:

• Safety management.

• Vehicle maintenance.

• Compliance programs.

• Driver coaching.

• Operational recordkeeping.

• Internal investigations.

• Insurance documentation.

Organizations remain responsible for complying with all applicable privacy, employment, and data protection laws governing their use of inspection records.

Driver Departure

When a driver leaves an organization:

• The organization may remove the driver's assigned subscription seat.

• The driver's access to the organization's account may be revoked.

• Historical inspection records remain preserved according to DriverProof's Data Retention Policy.

• Removal of access does not modify previously submitted inspection records.

Subscription Management

Enterprise subscriptions may include recurring billing based upon the organization's selected plan.

Organizations are responsible for:

• Maintaining accurate billing information.

• Paying applicable subscription fees.

• Managing subscription renewals.

• Monitoring seat utilization.

Failure to maintain an active subscription may result in reduced administrative functionality or suspension of enterprise services.

Data Retention

Inspection records are retained according to DriverProof's Data Retention Policy.

Organizations should independently determine whether additional record retention obligations apply to their business under applicable law.

DriverProof does not assume responsibility for an organization's independent legal recordkeeping requirements.

Compliance

Organizations are responsible for ensuring that their use of DriverProof complies with:

• Federal laws.

• State laws.

• Local laws.

• Industry regulations.

• Employment requirements.

• Customer contractual obligations.

DriverProof provides documentation tools but does not provide legal, regulatory, or compliance advice.

Limitation of Administrative Authority

Administrative privileges do not permit organizations to alter the integrity of inspection records.

Neither administrators nor organizations may:

• Edit inspection history.

• Delete submitted inspections.

• Alter timestamps.

• Replace submitted photographs.

• Modify permanent inspection records.

The historical authenticity of inspection records is a foundational feature of DriverProof.

Limitation of Liability

To the fullest extent permitted by applicable law, DriverProof shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to an organization's use of the platform.

DriverProof's aggregate liability, if any, shall be limited as provided in the DriverProof Terms of Service.

Policy Updates

DriverProof may revise these Enterprise & Fleet Terms periodically to reflect changes in the platform, legal requirements, or enterprise services.

Continued use of DriverProof following the effective date of any revisions constitutes acceptance of the updated terms.
